1. About These Terms

These Terms of Service ("Terms") are a binding agreement between you and Pymander Technologies Inc. ("Pymander," "we," "us," or "our") governing your access to and use of the Pymander Health websites, mobile applications, text-message coaching, and related services (together, the "Service"). By creating an account, joining the waitlist, or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you purchase a Pymander membership, the Pymander Membership Agreement you accept at enrollment also applies and controls over these Terms as to membership pricing, inclusions, and cancellation specifics. If you do not agree, do not use the Service.

2. What Pymander Is, and Is Not

Pymander is an all-in-one healthcare system and health-technology platform that brings primary care, labs, custom supplements, meal delivery, prescriptions, and continuous monitoring together in one place. Within that system we provide software, health education, data tools, and an artificial-intelligence coaching feature, and we help coordinate access to clinical services. Pymander itself does not practice medicine and does not provide medical advice, diagnosis, or treatment. Where the Service includes clinical care, that care is provided by independent, licensed healthcare professionals and affiliated professional entities ("Providers") who are solely responsible for their own clinical decisions. Your provider-patient relationship is with the Provider, not with Pymander. We do not interfere with, control, or override a Provider's independent medical judgment.

3. Eligibility

You must be at least 18 years old and a resident of the United States to use the Service. The Service is intended for use only in jurisdictions where it is lawfully available, and clinical services are available only in states where a participating Provider is licensed. By using the Service, you represent and warrant that you meet these requirements and that all information you provide is accurate, current, and complete. You may use the Service only for yourself, unless we expressly permit authorized caregiver or guardian use in writing.

4. Not for Emergencies

The Service is not for medical emergencies. If you think you may be experiencing a medical emergency, or are having thoughts of harming yourself or others, call 911, go to the nearest emergency room, or contact the 988 Suicide and Crisis Lifeline immediately. The Service, including wearable syncing and coaching, is not a real-time monitoring or alert system, may not be reviewed continuously, and may not be available at all times. Do not delay seeking professional care because of anything you read or receive through the Service.

5. Coaching: AI Tools and Our Care Team

The Service includes a coaching feature powered by AI tools and supported by the Pymander care team, along with other automated features that generate insights, summaries, suggestions, and educational content based on the information available to them. You understand and agree that:

6. Text Message Program

Coaching and account communications are delivered in part by SMS and iMessage. By providing your mobile number and enrolling, you consent to receive recurring coaching, care-coordination, and account text messages from Pymander at that number, including messages sent using automated technology. Message frequency varies. Message and data rates may apply. Reply STOP to cancel and HELP for help. Consent to marketing messages is not a condition of purchase. Stopping texts may limit coaching features that depend on messaging; you can continue your care through the app or by contacting us at hello@pymander.app. You are responsible for notifying us if you change or deactivate your mobile number. Carriers are not liable for delayed or undelivered messages.

7. No Guarantee of Results

Pymander supports longevity, prevention, and general wellness. Individual results vary, and nothing in the Service is a promise, guarantee, or claim that any product, protocol, or recommendation will prevent, treat, cure, or mitigate any disease, extend lifespan, or produce any specific health outcome. Statements about wellness, longevity, and dietary supplements made through the Service have not been evaluated by the U.S. Food and Drug Administration unless expressly stated, and supplements offered through the Service are not intended to diagnose, treat, cure, or prevent any disease.

8. Clinical Services, Prescriptions, and Labs

Any consultation, prescription, lab order, or treatment plan offered through the Service is provided at the sole discretion of a licensed Provider, and only where clinically appropriate. A consultation does not guarantee that a prescription, test, or treatment will be issued. Prescriptions are fulfilled by independent, licensed pharmacies, and laboratory testing is performed by independent, CLIA-certified laboratories. Telehealth consultations are subject to the informed-consent and other requirements of your state, which your Provider will present to you. You are responsible for following your Provider's instructions and for disclosing accurate health information.

9. Your Account and Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Keep your information accurate and up to date, and notify us promptly at hello@pymander.app if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms, that create risk or legal exposure, or that we reasonably believe have been compromised.

10. Payments, Subscriptions, and Cancellation

Some features require payment. We will show you applicable prices and billing terms before you purchase, and we will disclose renewal terms clearly at sign-up. Subscriptions renew automatically for the stated period until you cancel, and you authorize us (and our payment processors) to charge your payment method on each renewal. Where required by law, we will send you a renewal reminder or acknowledgment of your subscription terms. You can cancel at any time from your account settings or by contacting us — cancellation is available through a mechanism at least as simple as the one you used to sign up — and cancellation stops future renewals. Except where required by law, provided in the Membership Agreement, or expressly stated in a separate policy, fees already paid are non-refundable. Clinical fees charged by Providers, pharmacies, or labs are governed by their own terms. We do not store your full payment-card details; payments are handled by PCI-compliant processors.

11. Acceptable Use

You agree not to misuse the Service. You will not: use the Service for anyone other than yourself without authorization; provide false health or identity information; attempt to obtain prescriptions or controlled substances through deception; reverse engineer, scrape, or interfere with the Service or its security; use the Service to build a competing product or to train machine-learning models; upload unlawful, infringing, or harmful content; or use the Service in violation of any applicable law. We may investigate and take appropriate action, including reporting unlawful conduct, for any violation.

12. Your Content and Data

You own your health information and the content you provide. You grant Pymander a limited, non-exclusive license to use, store, and process your content solely to operate, secure, personalize, and improve the Service for you, to coordinate your care, and as described in our Privacy Policy. We do not sell your personal information, and we do not use your identifiable health data to train generalized or third-party artificial-intelligence models. You can access, export, or delete your data as described in the Privacy Policy.

13. Intellectual Property

The Service, including its software, models, text, graphics, logos, and design, is owned by Pymander Technologies Inc. or its licensors and is protected by intellectual-property laws. We grant you a personal, limited, non-transferable, revocable license to use the Service for your own non-commercial health purposes, subject to these Terms. All rights not expressly granted are reserved. "Pymander" and our logos are our trademarks and may not be used without our written permission. Feedback you choose to send us may be used without restriction or obligation to you.

14. Third-Party Services and Devices

The Service may integrate with third-party products, including wearable devices and connected accounts you choose to link. Your use of those products is governed by their own terms and privacy practices, and we are not responsible for them. We are not liable for the accuracy of data reported by third-party devices or for the acts or omissions of independent Providers, pharmacies, laboratories, or other third parties.

15. Disclaimers

Except as expressly stated and to the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any health information or AI output is accurate, complete, or suitable for your circumstances. Nothing in these Terms limits any rights or remedies you have under applicable consumer-protection or health-privacy laws that cannot be waived.

16. Limitation of Liability

To the maximum extent permitted by law, Pymander Technologies Inc. and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the greater of the amount you paid Pymander in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars. These limits do not apply to liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, fraud, or personal-injury claims to the extent the law prohibits their limitation. Pymander is not liable for the independent clinical decisions of Providers.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Pymander and its affiliates from third-party claims, losses, and reasonable expenses arising out of your violation of these Terms, your misuse of the Service, or your violation of any law or the rights of another. This section does not apply to claims arising from Pymander's own gross negligence or willful misconduct.

18. Dispute Resolution and Arbitration

Please read this section carefully; it affects how disputes are resolved. If a dispute arises between you and Pymander, we will first try in good faith to resolve it informally; contact us at hello@pymander.app and we will respond. If we cannot resolve it within 60 days, the dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring qualifying claims in small-claims court. Arbitration fees will be allocated as provided in those rules, and for consumer claims Pymander will pay the portion of administrative and arbitrator fees the rules assign to the business. You and Pymander waive the right to a jury trial and to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing us at hello@pymander.app with your name and account email; opting out will not affect any other part of these Terms. This section does not waive any right that cannot be waived under applicable law, and it does not apply to a Provider's professional liability, which is governed by law and the Provider's own agreements.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs Section 18. Where arbitration does not apply, disputes will be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction, unless applicable law gives you the right to bring a claim where you live.

20. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if continuing to provide the Service to you would create undue risk. Sections that by their nature should survive termination (including Sections 12 through 19 and 21) will survive. On termination, you may request export or deletion of your data as described in the Privacy Policy.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a prominent notice in the Service before they take effect, and we will update the "Last updated" date above. Your continued use of the Service after changes take effect means you accept the revised Terms. If you do not agree, you may stop using the Service.

22. General

These Terms, together with the Privacy Policy, the Pymander Membership Agreement (if you purchase a membership), and any terms you accept for specific features, are the entire agreement between you and Pymander regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. We are not liable for delays or failures caused by events beyond our reasonable control.
